End User License Agreement

This End User License Agreement ("Agreement") is a legally binding contract between you ("User") and Sophyix ("Company") governing your use of the Sophyix application and related services across iOS, Android, and web platforms (the "App").

1. License Grant

The App is licensed, not sold, to you. Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, access, install (if applicable), and use the App for your personal, non-commercial use on devices or platforms that you own or control, in accordance with the applicable app store terms, usage rules, and this Agreement.

2. Restrictions

You may not (a) copy (except for a single backup copy where permitted), modify, adapt, translate, or create derivative works of the App; (b) distribute, sell, rent, lease, lend, sublicense, or otherwise transfer the App to any third party; (c) reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law; (d) remove, alter, or obscure any proprietary notices; or (e) use the App for any illegal, unauthorized, or prohibited purpose. Any violation of this Section constitutes a material breach and will result in automatic termination of the license granted under this Agreement.

3. Consent to Use of Data

The Company may collect and use technical and related information, including information about your device, system, and application software, as described in the Privacy Policy, to facilitate software updates, provide product support, improve the App, and deliver related services. To the extent the information collected constitutes personal information, it will be handled in accordance with the Privacy Policy. The App may not function properly if you do not permit certain data collection or processing.

4. Termination

This Agreement is effective until terminated by you or the Company. Your rights under this Agreement will automatically terminate if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies of the App from your devices and any backups.

5. External Services

The App may enable access to third-party services, websites, or content ("External Services"). External Services are provided solely as a convenience. The Company does not control and is not responsible for External Services, including their availability, content, accuracy, policies, or practices. Your use of External Services is at your sole risk and may be subject to third-party terms and privacy policies. You agree not to use External Services in any manner that violates this Agreement or infringes the rights of the Company or any third party.

6. NO WARRANTY

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY RESULTS OBTAINED FROM USE OF THE APP WILL BE ACCURATE OR RELIABLE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU (IF ANY) FOR ACCESS TO THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITIES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU; IN SUCH JURISDICTIONS, THE COMPANY’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8. Export Restrictions

You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, but without limitation, the App may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List. By using the App, you represent and warrant that you are not located in any such country or on any such list and that you will comply with all applicable export laws and regulations.

9. Governing Law

This Agreement is governed by the laws of California, USA, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement or the App will be brought exclusively in the state or federal courts located in the applicable venue within California, USA, and you consent to personal jurisdiction in such courts.

10. International Users

If you access the App from outside the United States, you are responsible for compliance with local laws. Nothing in this Agreement is intended to limit any consumer rights that may not be waived under applicable law. Where required by applicable law, additional terms may apply to users in certain jurisdictions.
